What Corporate/Securities NonAttny contributes to Cardinal Health

Corporate and Securities is responsible for providing Legal advice, counsel and services in the areas of corporate, securities, corporate governance, executive compensation, finance and credit activities and administrative services in the area of corporate.


Provide legal and administrative support to corporate governance, corporate securities, and mergers and acquisitions legal teams.

  • Provide legal and administrative support for management of domestic and international subsidiaries, including support for restructuring transactions, working collaboratively with corporate paralegal team and in-house counsel
  • Assist with preparation of annual financial statements and annual reports for subsidiaries
  • Prepare resolutions and minute books
  • Identify and assess corporate governance legal risks and recommend courses of action to in-house counsel
  • Serve as liaison for outside counsel and third party service providers, including providing oversight of third party service agents
  • Draft and review corporate documents utilizing predetermined forms and language under supervision of in-house counsel
  • Coordinate and oversee Environmental, Social and Governance (ESG) reporting, including completion of ESG surveys for Legal, Quality and Regulatory, and Compliance groups, Securities and Exchange Commission (SEC) conflict minerals reporting, political contributions reporting, and UK Modern Slavery Act reporting
  • Support mergers and acquisitions legal team, including coordination and review of disclosure schedules, transaction closings and post-closing matters
  • Demonstrate high level of professionalism, including ability to be flexible with others, to display tact, good judgment, diplomacy and discretion, presence under pressure and maintain integrity of confidential and sensitive information


  • Undergrad required
  • 4-6 years in related field preferred
  • Advanced degree a plus

Additional Qualifications

  • College degree and/or paralegal certificate
  • Strong project management skills
  • Possess strong verbal, interpersonal and written communication skills
  • Strong team player
  • 5+ years of relevant experience preferred, particularly with international entity corporate governance strongly preferred
  • Large law firm and/or corporate law department experience preferred
  • Ability to research, analyze and problem-solve
  • Proficiency with Word, PowerPoint, Adobe and Excel software
